How to become a member
of Regional Angels

We’re committed to fostering a community passionate about supporting and growing regional startups. To become a member, investors must meet certain criteria that ensure they have the knowledge and experience to make informed investment decisions. Membership is only open to those investing individually and are not brokers or professionals engaged by private equity and venture capital firms.

In order to become, or remain a member of RAIN, investors must not be brokers or professionals engaged by private equity and venture capital firms and agree to abide by the following
guidelines and standards

Certificate

To become a member of Regional Angels, investors must have a current certificate from a qualified accountant certifying that they meet the prescribed net asset or gross income level to be considered a “Sophisticated Investor” or “Wholesale Investor”. This requirement is in place to ensure that members have the financial resources to make informed investment decisions and understand the potential risks involved. This certificate is mandatory and must be obtained before applying for membership.

Compliance

Commitment to adhering to the RAIN Members’ Agreement and Code of Conduct of RAIN is mandatory for membership. By following these guidelines, we are able to create a community of investors who share the same vision and goals. The expectations and responsibilities that come with being a part of Regional Angels includes adhering to ethical standards, maintaining confidentiality, and being committed to the growth and success of the startups that we invest in.

Evaluation

Investors must have the knowledge and experience to evaluate the relative merits and risks of any investment opportunity. This means having a solid understanding of financial and business matters, including an understanding of investment strategies, risk management, and the ability to evaluate a business’ financial performance. Additionally, members must have the ability to understand and analyse financial statements, business plans and industry trends.

Entity

Regional Angels is not a venture fund, investment bank, broker/dealer, or any other form of investment adviser. We do not provide advice, recommendations, or any other indication of appropriateness or inappropriateness for a particular investment. Regional Angels does not endorse any investment opportunity and makes no independent investigation to verify information provided by companies submitting to the group for a presentation or otherwise, and makes no representation or warranty regarding the same.

Due diligence

You must conduct your own analysis and due diligence to determine the appropriateness of any investment you make in any company to which you are introduced to through Regional Angels. As a result, you recognise and agree that the group is not liable for any investment decision you make as a result of being a member of Regional Angels. The choice to use and the manner of utilisation of information and knowledge gained through the group is your individual and personal choice.

Meetings

It is important to understand that Regional Angels meetings are not an offer to sell or solicitation to buy any security by the group or any other entity. These meetings are intended to provide a platform for companies to present their business opportunities and for members to gain information to make informed investment decisions. All members must conduct their own analysis and due diligence to determine the appropriateness of any investment you make.
