Code of Conduct

In the context of RAIN facilitating any introduction (the ‘RAIN Services’) between a Member, on the one hand, and any business or organisation in the initial stages of operations that requires capital to order to achieve mass scale via private investment/debt (a ‘Start-Up’), on the other hand:

• I will conduct myself in an ethical and professional manner at all times, acting with honesty, equity and without discrimination.
• I will respect the privacy of other RAIN members and the Start-Ups I meet with and not provide their name or any contact or other information to any third party without their permission and solely in accordance with my RAIN Membership Agreement.
• I will keep all Information provided to me by Start-Ups, other RAIN Members, suppliers, partners or any other organisation, confidential and will not disclose any information to any third parties without the express written permission of the impacted party/parties and solely in accordance with my RAIN Membership Agreement.
• I will respect the copyright of any documents and materials I am provided access to as part of my membership of RAIN and treat all those materials in accordance with my obligations under my RAIN Membership Agreement.
• I will promptly disclose to RAIN, in writing, any actual or perceived conflicts of interest in a timely manner.
• I understand that I must conduct my own analysis and due diligence to determine the appropriateness of any investment I make in any Start-Up or other company to which I am introduced through RAIN. I recognize and agree that none of RAIN or any of its directors, officers, employees, Affiliates or related body corporates are liable for any investment decision I make as a result of, or in connection with, being a member of RAIN or receiving the RAIN Services. The choice to use and the manner of utilization of information and knowledge gained through the RAIN Services is my individual and personal choice.
• I will immediately advise RAIN of any or all Investments (as defined in the RAIN Membership Agreement) made by me or any affiliate or related body corporate of mine to any Start-Up or business introduced to me via RAIN, whether I am a current or past member of RAIN.
• I will comply with the spirit as well as the letter of this Code of Conduct.
• For the purposes of this Code of Conduct, “I’ and ‘me” includes any corporate entity in respect of which I have applied for Membership with RAIN.
